Supafund Terms of Service

Welcome to Supafund by Spartan Labs Pte. Ltd. ("Supafund"). These Terms govern your access and use of the Supafund platform, including specialized AI-driven funding services for Web3 projects (the "Service").

1. Acceptance and Eligibility

By accessing Supafund, you confirm:

• Acceptance of these Terms and the Privacy Policy.

• You are at least 18 years old with the legal authority to enter binding contracts.

2. Description of Services

Supafund provides AI tools and resources specifically designed to help Web3 project founders generate customized funding documents, receive strategic feedback, manage funding opportunities, and connect directly with funding providers (grants, DAOs, VCs, accelerators).

Supafund also facilitates structured prediction markets that allow users to forecast project outcomes, funding success, or milestone completions, providing transparent market-based signals to improve ecosystem decision-making.

3. Account Responsibilities

You must:

• Provide accurate, complete, updated information for your account.

• Safeguard your login credentials and notify us immediately of unauthorized access or breaches.

• Acknowledge that certain features (e.g., prediction markets or evaluator reputation systems) may require identity verification or additional eligibility screening.

4. Payment Terms and Subscriptions

• Supafund offers free and premium subscription tiers requiring valid payment methods.

• Subscription fees are recurring unless explicitly canceled. Canceling ends access at the current billing cycle’s close.

• All payments are final; no refunds or prorated credits provided.

• Participation in prediction markets or premium evaluator tools may incur transaction or staking fees disclosed prior to use.

5. Ownership and Use of Content

You retain full ownership of your submitted project materials. You grant Supafund a limited, non-exclusive license solely to deliver and enhance our services. We do not use your proprietary materials for internal AI training. If you opt into public prediction markets, anonymized metadata (e.g., project tags, market outcomes) may be visible to other participants to facilitate transparent forecasting and market accuracy.

6. Prohibited Conduct

You agree not to:

• Engage in illegal, harmful, or fraudulent activities.

• Compromise the security, integrity, or functionality of Supafund’s technology.

• Upload offensive, defamatory, misleading, or harmful content.

• Manipulate prediction markets, falsify evaluation data, or use multiple identities to bias platform outcomes.

7. Intellectual Property Rights

Supafund retains all rights to its proprietary technology (AI algorithms, platform design, content methodologies). Unauthorized use or reverse engineering is prohibited. You may not reuse or distribute generated predictions, analytics, or evaluator scores without explicit permission unless otherwise made public by the platform.

8. Confidentiality Obligations

We uphold strict confidentiality concerning your project details, sharing them only with explicitly authorized funding providers or as legally required. For prediction markets, only non-sensitive summary attributes will be visible to ensure forecasting transparency while protecting confidential data.

9. Disclaimers and Liability Limitations

• Supafund does not guarantee funding outcomes or acceptance by any grant, DAO, VC, or accelerator.

• Supafund provides tools, not financial, investment, or legal advice.

• Liability is strictly limited to fees paid by you in the past 12 months, or $100 USD if no payments were made. We are not responsible for indirect, incidental, consequential, or punitive damages related to your use of Supafund. Market-based predictions and AI evaluations are informational and not guarantees of project performance or funding success.

10. Indemnification

You agree to indemnify Supafund and affiliates against claims or damages resulting from misuse, violations of these Terms, or non-compliance with applicable laws. This includes claims arising from improper use of prediction features, staking mechanisms, or evaluation tools.

11. Termination of Service

• You may terminate your account anytime.

• Notwithstanding the above, Supafund reserves the right to suspend or terminate access for violations or misuse. We may also suspend prediction market access for users suspected of manipulation or abuse pending investigation.

12. Modifications to Terms

Changes will be communicated clearly. Continued use of the platform implies acceptance. We will notify users in advance of material changes affecting data handling, evaluator incentives, or market participation policies.

13. Third‑Party AI Service Providers

Supafund relies on third‑party "foundational" AI models (such as OpenAI GPT‑series APIs) to deliver certain features of the Service. By using those features you instruct us to transmit the necessary portions of your content to these providers for real‑time processing. Supafund remains responsible for their performance under these Terms and ensures that the providers:

• Use your content solely to generate the requested outputs;

• Do not retain, train on, or otherwise exploit your content;

• Delete transient copies promptly after processing.

Supafund does not develop or fine‑tune proprietary AI models on your content.

If you prefer that your content never be processed by such third‑party AI services, you must refrain from using the features that depend on them.

Supafund may incorporate additional third-party infrastructure to support market resolution, identity verification, or funding integrations, with relevant disclosures made prior to use.
